  • Proceedings of the Committee:
  • 39 Subject to the provisions of the Rules, the Committee may regulate their proceedings as they think fit. A Committee Member may, and the Secretary at the request of a Committee Member shall, call a meeting of the Committee. It shall not be necessary to give notice of a meeting to a Committee Member who is absent from the United Kingdom. Questions arising at a meeting shall be decided by a majority of votes. In the case of an equality of votes, the chairman shall have a second or casting vote.
  • 40 The quorum for the transaction of the business of the Committee may be fixed by the Committee and unless so fixed at any other number shall be four present in person or by telephone or video conference facility.
  • 41 The continuing Committee Members may act notwithstanding any vacancies in their number, but, if the number of Members of the Committee is less than the number fixed as the quorum, the continuing Committee Members may act only for the purpose of filling vacancies or of calling a general meeting.
  • 42 The Committee may appoint one of their number to be the Chairman of the Association and may at any time remove her from that office. Unless she is unwilling to do so, the Committee Member so appointed shall preside at every meeting of Committee at which she is present. But if there is no Committee Member holding that office, or if the Committee Member holding it is unwilling to preside or is not present within 15 minutes after the time appointed for the meeting, the Committee Members present may appoint one of their number to be chairman of the meeting.
  • 43 A Committee Member may appoint a proxy or deputy to attend Committee meetings in her place and to vote on her behalf. The appointment of a deputy or proxy must be in writing and signed by the Member and sent to the Chairman.
  • 44 A vote given by a proxy or deputy for a Member remains valid despite the previous revocation of the proxy or deputyship unless notice of revocation was received by the Chairman before the start of the meeting or adjourned meeting in question.
  • 45 All acts done by a meeting of the Committee, or of a sub-committee of the Committee, shall, notwithstanding that it be afterwards discovered that there was a defect in the appointment of any Committee Member or that any of them were disqualified from holding office, or had vacated office, or were not entitled to vote, be as valid as if every such person had been duly appointed and was qualified and had continued to be a Committee Member and had been entitled to vote.
  • 46 A resolution in writing signed or approved in writing by all the Committee Members entitled to receive notice of a meeting of the Committee shall be as valid and effectual as if it had been passed at a meeting of the Committee duly convened and held and may consist of several documents in the like form each signed by one or more Committee Members; but a resolution signed by an deputy or proxy for a Committee Member need not also be signed or approved by her appointor.
  • 47 A Committee Member or her deputy or proxy may participate in a meeting of the Committee or of any committee of the Committee through the medium of conference telephone, audio-visual communication or similar form of communication equipment notwithstanding that the Committee Members present may not all be meeting in one particular place if all persons participating in the meeting are able to hear and speak to each other throughout the meeting. A person participating in this way is deemed to be present in person at the meeting and is counted in a quorum and entitled to vote. The meeting is deemed to take place where the largest group of those participating is assembled or, if there is no such group, where the chairman of the meeting then is. A resolution made by a majority of the Committee Members pursuant to this Rule shall be as valid as it would have been if made by them at a meeting duly convened and held.
